"HOME THEATRE FOR THE HOLIDAYS" SWEEPSTAKES
OFFICIAL RULES

NO PURCHASE IS NECESSARY TO ENTER OR WIN. This "HOME THEATRE FOR THE HOLIDAYS" SWEEPSTAKES ("Sweepstakes") is sponsored by dotTV, Inc. ("Sponsor"). By entering this Sweepstakes, you agree to be bound by these rules ("Rules"), and you further acknowledge that all applicable federal, state and local rules and regulations shall apply to and govern this Sweepstakes.

1. Eligibility. To enter and/or win the Sweepstakes, you must be thirteen years of age or older and a legal resident of the 50 United States. This Sweepstakes is void where prohibited or restricted by law. Employees of Sponsor and their immediate families, as well as Sponsor's respective affiliates, subsidiaries, agencies and participating retailers (collectively, "Sponsor and Administrators") are not eligible. Odds of winning a prize are determined by the total number of qualified, eligible entries received in connection with the Sweepstakes and are the same regardless of method of entry.

2. To Enter. This Sweepstakes will run from 12 a.m. EST on Wednesday, December 13, 2000 and continue until 5:00 p.m. EST on Friday, January 12, 2001 ("Sweepstakes Period"). You may enter online, or in person at your local participating radio station. Online and in-person station entries have an equal chance of winning.

Enter Online. Enter online by filling out the Sweepstakes Official Entry Form available by clicking on the dotTV logo found on the website of your participating radio station, and by completing and submitting your entry during the Sweepstakes Period. Only one entry per person or email account will be accepted. Duplicate entries will be disqualified. You must be over 13 years on Dec. 12, 2000 to submit a valid entry.

Enter In-Person at Local Participating Radio Station. As an alternative method of entry, you may enter in person at your local, participating radio station by writing on a 3"x5" card or paper your name, complete mailing address, phone number, email address (if available), call letters of the radio station where you heard this promotion (or how you heard of this promotion), and your age. You must be over 13 years on Dec. 12, 2000 to submit a valid entry. Hand-deliver the completed card to the receptionist at your local, participating radio station. Entries submitted at your radio station must be received prior to close of business on January 12, 2001. Only one entry per household, duplicate entries will be disqualified. No mechanical or electronic reproductions will be accepted.

Only one entry may be submitted per person, email account. Duplicate and/or mechanical entries will be disqualified. In the event of a dispute regarding the identity of the person submitting an online entry, the entry will be deemed to be submitted by the Authorized Account Holder of the e-mail address at the time of entry. "Authorized Account Holder" is defined as the natural person who is assigned the e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Sponsor will not be responsible for lost, stolen, late or misdirected e-mail, failed, incomplete, interrupted or delayed operation or transmission, or other Internet entry problems, problems with computer equipment, software, on-line systems, servers, online service providers, telephone network/lines or online communications, or failure of any entry to be received due to technical problems or Internet traffic or damage to users' systems as a result of participating in the Sweepstakes, or typographical, printing, clerical, administrative or other errors. Proof of mailing entry, connecting or logging on to a radio website or visiting a radio station to submit an entry is not considered proof of delivery or receipt. Illegible, incomplete, damaged, or destroyed entries will be disqualified. All entries become the property of Sponsor and will not be returned. Entries or acts that do not comply with these rules will be void and will result in the entrant's ineligibility to participate in the Sweepstakes.

3. Random Sweepstakes Drawings. Sponsor's independent marketing and judging agency ("Judges") will conduct one random drawing ("Drawing") on or about January 13, 2001 to select the First Prize and Grand Prize winners. . The winners (subject to verification of eligibility) ("Winner") will be randomly selected by from all eligible entries at the time of the drawing.

4. Notification of Winners. Each potential Winner will be notified by email and/or by phone within five business days of the drawing. Potential Winners will be required to execute and return an Affidavit of Eligibility and a Release of Liability in a form prepared by Sponsor (collectively, "Required Documents") within ten (10) days of issuance of notification ("Notification Period"). Failure to return the Required Documents during the Notification Period will result in disqualification and a subsequent random drawing to pick an alternate potential Winner. If any prize notification or prize is returned to Sponsor or its fulfillment companies as undeliverable for any reason, such prize will be awarded to an alternate Winner selected in a subsequent random drawing, whose eligibility has been confirmed. Each Winner is solely responsible for any and all federal, state and local tax liabilities in connection with any prizes awarded. Acceptance of a prize by a Winner constitutes permission (except where prohibited) to use the Winner's name, likeness, and statements for publicity purposes without additional compensation or limitation.

5. Prizes. All prizes will be awarded and are not transferable, nor redeemable for cash. If the applicable prize is unavailable, Sponsor reserves the right to award a prize of equal or greater value or a cash equivalent, in Sponsor's sole discretion.

Grand Prize. One (1) Grand Prize will be awarded and consists of a Large Screen TV, a digital Home Theatre sound system, a DVD player and a 4-head VCR. In the event that for any reason, a winner forfeits his or her prize, no additional prize will be awarded to that winner. The approximate retail value of the Grand Prize is $3,200.

First Prize: Five (5) First Prizes will be awarded, and each first place prize consists of a PC Webcam Kit. The approximate retail value of each Webcam kit is $130.

6. Release and Waiver. By entering this Sweepstakes, you forever release and waive any and all claims that you might have against Sponsor and Administrators and their respective subsidiaries, affiliates, successors, licensees, agents and assigns, and the officers, directors, members, shareholders and employees (collectively, "Sponsor Parties") arising out of or related in any way to injuries, damages, losses, costs or expenses of any kind or nature resulting from acceptance, use or misuse of any prize or parts thereof or your participation in this Sweepstakes. You further indemnify and hold harmless the Sponsor Parties from and against any and all third-party claims, liabilities, costs and expenses (including attorneys' fees reasonably incurred) arising out of or related to (i) any breach or alleged breach or violation of these Rules by you, (ii) your acceptance, use or misuse of any prize or parts thereof, and (iii) your participation in this Sweepstakes. You acknowledge and agree that the decisions of the Judges with respect to any aspect of this Sweepstakes are final.

7. Other. Sponsor reserves the right, in its sole discretion to terminate further Internet entry in the Sweepstakes if technical difficulties, including but not limited to infection caused by computer virus, bugs, tampering, unauthorized intervention, fraud or other technical failures, compromise the integrity or ability to continue such Internet entry. Sponsor reserves the right, in its sole discretion, to modify, terminate, or suspend this Sweepstakes should viruses, bugs, unauthorized human intervention or other causes beyond the control of Sponsor or Administrator corrupt or impair the administration, security or fairness of the Sweepstakes. In such event, Sponsor and Administrator may conduct the drawing from the pool of all eligible entries received, whether received in person or online, as of the date of termination of Internet entry. Sponsor and Administrator may disqualify any entrant who attempts to tamper with the operation or integrity of this Sweepstakes and/or any participating radio station's website, and to seek appropriate criminal and civil penalties against such person(s). Sponsor and Administrator and their respective agencies, affiliates and employees are not responsible for any human error that may occur in the processing of the entries, nor are they responsible for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries, whether caused by the sender or any of the equipment or programming associated with or utilized in this Sweepstakes. Participants agree that the decisions of Sponsor and Administrator related to this Sweepstakes and all drawings are final. These Rules shall be governed by and construed in accordance with applicable common law and statutes of the State of California, without giving effect to the conflict of law rules of that State. Any controversy or claim arising out of or relating to these Rules shall be brought exclusively in the State and/or Federal Courts located in the greater Los Angeles area, in the State of California, and you consent to the exclusive jurisdiction of, and service of process by, such Courts for the purpose of resolving any disputes, and further consent to the propriety of venue in such Courts.

8. Copies of Official Rules and Winners List. For an Official Winners List, (available after 2/15/01) or a copy of these Official Rules send a self-addressed, stamped (where prohibited, stamped envelope not required) envelope to dotTV "Home Theatre for the Holidays" Sweepstakes, 787 Boulevard East - #3, Weehawken, NJ 07087. Official Rules will also be posted during the Sweepstakes Period at www.contestentry.com/dottv/rules.html. Lists fulfilled after completion of Sweepstakes.
